Legal
Terms of Service
The agreement between you and QBITS LLC for the use of Sales. Written to be read, not to hide things.
1. Who you are contracting with
Sales is operated by QBITS LLC, a limited liability company formed under the laws of the State of New Mexico, United States, with a mailing address at 142 47th St, Apt 1L, Union City, NJ 07087, United States ("we", "us", "our").
These Terms of Service (the "Terms") are a binding agreement between us and the business that subscribes to the Service ("you", "your"). If you accept these Terms on behalf of a company, you confirm you have authority to bind that company.
By creating an account, starting a trial, or paying for a subscription, you accept these Terms and our Privacy Policy.
2. What the Service is
"Sales" (the "Service") is a hosted software application for food businesses. It includes point of sale, inventory, recipe and costing, production, purchasing, cash control and multi-location reporting modules, accessed through a web browser.
We provide the Service as software. We are not your accountant, your tax advisor, or your food-safety consultant. Numbers, costs, margins and reports produced by the Service are tools to help you run your business; you remain responsible for your own accounting, tax filings, labelling and regulatory compliance.
3. Your account
- You must be at least 18 years old and operating a business to subscribe.
- You are responsible for everything that happens under your account, including the actions of the users you create.
- You are responsible for keeping credentials secure. Tell us promptly at hello@qbitsinc.com if you believe an account has been compromised.
- Your subscription covers unlimited users within your own business. It does not permit you to resell access or to let unrelated businesses operate on your account.
4. Free trial
Monthly and annual plans include a 14-day free trial. Nothing is charged during the trial period. If you do not continue, the trial simply ends and you are not billed.
The trial gives you the full Service, not a reduced version. We may limit trials to one per business.
5. Fees, billing and taxes
All prices are in United States dollars (USD). Current pricing:
| Plan or add-on | Price | Billing |
|---|---|---|
| Monthly | $99 | Every month, in advance |
| Annual | $600 | Once a year, in advance |
| Founder | $250 once, then $30/mo | Setup fee once, then monthly |
| Each additional location | $29/mo ($19 for founding members) | Monthly |
| Bank transfer reconciliation | $8/mo | Monthly |
| White Label | $197 (included free for founding members) | One time |
Subscriptions renew automatically for the same period until you cancel. We charge the payment method on file on each renewal date.
Payments are processed by Stripe, Inc. We do not store your full card number. Your use of the payment flow is also subject to Stripe's own terms.
If a payment fails, we will retry and notify you. If it remains unpaid, we may suspend access until the balance is settled. We do not charge late fees.
Prices are exclusive of any sales, use, VAT, GST or similar taxes. Where we are required to collect such taxes, they will be added at checkout. You are responsible for any taxes arising from your own business activity.
We may change prices for new subscriptions at any time. For an existing subscription, we will give you at least 30 days' notice by email before a price change takes effect, and you may cancel before it does. Founding member rates are exempt — see below.
6. Founding member price lock
If you subscribe as one of the first 50 founding members, your $30/mo rate is frozen for as long as your subscription stays active and in good standing. We will not raise it — not at renewal, not when we add modules, not ever.
Founding member benefits include additional locations at $19/mo instead of $29/mo and White Label at no charge. The $250 setup fee is charged once and is covered by the 30-day money-back guarantee like everything else.
If you cancel a founding subscription and later come back, the then-current public price applies. The lock belongs to the subscription, not to the account forever.
7. 30-day money-back guarantee
If within 30 days of your first payment you decide the Service is not worth it, email hello@qbitsinc.com and we will refund that payment in full. This covers the first subscription charge and, for founding members, the $250 setup fee.
No form, no retention call, no explanation required. Refunds go back to the original payment method and typically appear within 5–10 business days depending on your bank.
The guarantee applies once per business, to your first paid period. Later renewals are not refundable, but you can cancel at any time to stop future charges.
8. Cancellation
You can cancel from inside the Service, in one click, at any time. There is no contract, no minimum term and no notice period.
Cancelling stops future charges. Your access continues until the end of the period you already paid for. We do not pro-rate unused time outside the 30-day guarantee.
Before you go, you can export your data — see section 10.
9. Acceptable use
You agree not to:
- break the law, or use the Service to help someone else break it;
- upload malware, or try to breach, probe or overload our systems;
- attempt to access data belonging to another customer;
- copy, decompile or reverse-engineer the Service, or build a competing product from it;
- resell, sublicense or share access with businesses outside your own;
- use the Service to send unsolicited bulk messages.
10. Your data
It is yours
You own the data you put into the Service — your products, recipes, costs, customers, sales and reports. We do not sell it, and we do not use your business data to train models or to build products for anyone else.
What we do with it
We process your data only to provide and support the Service, to bill you, and as described in our Privacy Policy.
Export
You can export your data in a standard format at any time while your subscription is active, and for 30 days after cancellation. If you need help getting it out, ask us and we will help. Nobody is holding your data hostage to keep you paying.
Deletion
After 30 days from cancellation we may permanently delete your data. If you want it deleted sooner, email us and we will do it. Backups are purged on their own rotation, normally within 90 days.
Your customers' data
If you store information about your own customers or employees in the Service, you are the controller of that data and you are responsible for having a lawful basis to collect it. We act as your processor.
11. Our intellectual property
The Service, its software, design, documentation and the "Sales" name remain our property. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, for your own business, subject to these Terms.
Feedback you send us is appreciated and we may act on it without obligation or payment. That does not give us any right to your business data.
12. Third-party services
The Service connects to third parties — for example Stripe for payments, and hosting and email providers. We choose them carefully but we do not control them, and we are not responsible for their outages, decisions or terms. A current list of the providers that handle data is in our Privacy Policy.
13. Availability and support
We aim to keep the Service available around the clock and we work to resolve problems quickly, but we do not promise a specific uptime percentage and we do not offer a service credit scheme. Planned maintenance is announced in advance where practical.
Support is by email at hello@qbitsinc.com. Founding members also get a direct line to the founder. There are no salespeople and no paid support tiers.
14. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the Service will be uninterrupted or error-free, or that the figures it produces are free of mistakes. You are responsible for reviewing your own numbers before relying on them for pricing, tax or regulatory decisions.
15. Limitation of liability
To the maximum extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost goodwill or lost data;
- our total aggregate liability arising out of or relating to these Terms is limited to the amounts you actually paid us in the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.
16. Indemnification
You agree to defend and indemnify us against third-party claims arising from your use of the Service in breach of these Terms or applicable law, including claims relating to data you put into the Service without the right to do so.
17. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or inside the Service at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not accept them, cancel before the effective date.
18. Suspension and termination
We may suspend or terminate your account if you materially breach these Terms, if your payment remains unpaid after notice, or if your use puts the Service or other customers at risk. Except in cases of abuse or legal requirement, we will give you notice and a reasonable chance to fix the problem first.
If we discontinue the Service entirely, we will give you at least 90 days' notice, a way to export your data, and a pro-rated refund of any prepaid period.
19. Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Mexico have exclusive jurisdiction, and both parties consent to venue there.
Before filing anything, please email us — almost everything gets resolved that way.
20. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.
- Severability. If a provision is unenforceable, the rest stays in force.
- No waiver. Not enforcing a right once does not waive it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of the business.
- Independent parties. Nothing here creates a partnership, agency or employment relationship.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
